Code of Conduct

MoonshotNX exists to introduce structural discipline into early-stage capital markets.

Participation in the Moonshot ecosystem is conditional upon adherence to this Code of Conduct. This applies to founders, investors, advisors, partners, employees, and affiliates.

Violation of this Code may result in suspension or removal from the ecosystem.

Principles

Moonshot operates on three governing standards:

• Responsibility
• Integrity
• Respect

These are operational standards, not marketing statements.

I. Responsibility

1. Accurate Representation

Members must present truthful, complete, and non-misleading information in all submissions, communications, and disclosures.

Intentional misrepresentation, data manipulation, or omission of material facts is grounds for removal.

2. Compliance with Law

Members must comply with:

• Local, federal, and international laws
• Securities regulations
• Sanctions regimes
• Anti-bribery and anti-corruption laws

Moonshot does not tolerate unlawful conduct.

3. Responsible Conduct in Capital Markets

Members must not:

• Engage in fraudulent fundraising
• Circumvent securities laws
• Misuse investor information
• Present grading outputs in misleading ways

4. Protection of Confidential Information

Members must protect:

• Confidential company data
• Investor information
• Personal data
• Proprietary materials

Unauthorised disclosure may result in removal.

5. Ethical Business Practices

Members must not:

• Offer or accept bribes
• Engage in corruption
• Provide kickbacks
• Conduct business with known bad actors

6. Controlled Substances & Conduct at Events

Members must:

• Act professionally at Moonshot events
• Avoid conduct that jeopardises safety
• Comply with applicable laws regarding substances

Unsafe or illegal conduct will not be tolerated.

II. Integrity

7. Transparency

Members must disclose material conflicts of interest promptly.

When in doubt, disclose.

8. Investor Communication

Founders engaging with investors through the ecosystem are expected to:

• Provide periodic updates
• Respond professionally
• Maintain transparent communication

9. Failure Conduct

If a company fails, founders are expected to:

• Notify investors
• Provide data access for a reasonable period
• Act with professionalism and clarity

Failure is not misconduct. Concealment is.

10. Intellectual Property Respect

Members must not:

• Plagiarise
• Steal content
• Misappropriate proprietary assets

Innovation requires integrity.

11. Data & System Integrity

Members must not:

• Attempt to reverse engineer platform systems
• Manipulate grading frameworks
• Scrape data
• Attack systems electronically

12. No Spam or Harassment

Members must not:

• Send bulk unsolicited communications
• Harass prospective customers or investors
• Use false identities
• Participate in online abuse or flame wars

Professional discourse is required at all times.

III. Respect

13. Professional Conduct

Members must maintain professional communication standards in:

• Online forums
• Investor discussions
• Events
• Internal ecosystem communication

Hostile or abusive conduct is not permitted.

14. Non-Discrimination

Moonshot does not tolerate:

• Illegal discrimination
• Harassment
• Retaliation

Members are expected to foster lawful, inclusive environments.

15. Fair Compensation & Treatment

Members are expected to:

• Compensate employees fairly
• Avoid exploitative practices
• Respect contractual agreements

16. Human Rights & Environmental Responsibility

Members are expected to avoid business practices that:

• Violate human rights
• Exploit labour
• Cause deliberate environmental harm

17. Accountability

Members must:

• Honour commitments
• Respect agreements
• Avoid gossip and reputational harm

Constructive criticism is acceptable. Malicious behaviour is not.

Enforcement

MoonshotNX reserves the right to:

• Investigate violations
• Suspend access
• Remove participants
• Restrict platform privileges

Participation in the ecosystem is conditional.
