Third-Party Ratings and SPV Creation

Independent Provider and Structural Limitation Framework

This Addendum forms part of the Terms of Service between Customer and MoonshotNX, Inc.

1. Independent Ratings Providers

1.1 No Ratings Issued by MoonshotNX.
MoonshotNX does not issue credit ratings, risk ratings, underwriting opinions, or similar evaluative determinations.

1.2 Third-Party Control.
All ratings are issued solely by independent third-party providers. Such providers:

  • control their methodologies;

  • control scoring criteria;

  • control outputs;

  • control acceptance or rejection;

  • control timing.

1.3 No Influence.
MoonshotNX does not control or influence ratings decisions.

1.4 No Guarantee.
MoonshotNX does not guarantee any rating level or outcome.

2. SPV and Structural Vehicles

2.1 No Legal Formation by MoonshotNX.
MoonshotNX does not form entities, draft legal documents, prepare offering documents, or provide legal advice.

2.2 Independent Counsel and Administrators.
SPVs, funds, vehicles, or related structures are formed and administered by licensed law firms or independent administrators.

2.3 No Structural Warranty.
MoonshotNX makes no representation regarding:

  • legal validity of any structure;

  • tax treatment;

  • regulatory compliance;

  • jurisdictional suitability.

3. Payment Facilitation

3.1 Operational Facilitation Only.
MoonshotNX may facilitate workflow steps, including enabling coordination or payment flow logistics.

3.2 No Financial Guarantee.
MoonshotNX does not guarantee availability of payment plans or financing for ratings or SPV costs.

3.3 Third-Party Terms Govern.
All Third-Party Services are governed by separate agreements between Customer and the relevant provider.

4. Allocation of Responsibility

Customer acknowledges that:

  • Ratings providers are responsible for ratings decisions.

  • Legal counsel is responsible for legal compliance.

  • SPV administrators are responsible for administration.

  • Investors are responsible for investment decisions.

MoonshotNX bears no liability arising from Third-Party Services performance, delay, denial, regulatory scrutiny, or outcome.

5. Regulatory Position

This Addendum clarifies that MoonshotNX does not:

  • underwrite securities;

  • provide investment opinions;

  • act as an arranger;

  • structure securities transactions;

  • provide fairness opinions;

  • provide valuation opinions for securities issuance.

Any structural modelling tools provided within the platform are informational only.

6. Indemnity Extension

Customer agrees that any claim arising from:

  • ratings outcomes;

  • SPV formation;

  • offering structure;

  • regulatory investigation relating to Customer’s offering;

  • tax treatment of any vehicle;

falls within Customer’s indemnification obligations under the Agreement.
