Platform Confidentiality Agreement

By accessing and using the MoonshotNX platform, both the User and MoonshotNX agree to the following:

1. Confidential Information

“Confidential Information” includes all non-public information submitted through the platform, including but not limited to pitch decks, financial data, cap tables, business models, product information, and data room materials.

2. Mutual Confidentiality

Each party agrees to:

  • treat Confidential Information as confidential

  • use such information solely for the purpose of evaluating, preparing, and supporting fundraising activities within the MoonshotNX platform

  • not disclose Confidential Information to third parties without the disclosing party’s direction

3. Internal Use and Access

MoonshotNX may allow access to Confidential Information strictly to:

  • authorised internal personnel

  • advisory reviewers

  • system processes required to generate reports

All such access is subject to confidentiality obligations.

4. Controlled Sharing

No Confidential Information will be shared with investors or third parties unless:

  • the User explicitly enables such sharing, or

  • the User enters a stage of the platform designed for investor engagement

At that point, the User controls what information is shared and when.

5. Exclusions

Confidential Information does not include information that:

  • is publicly available

  • was known prior to submission

  • is independently developed without reference to submitted materials

6. No Transfer of Rights

All intellectual property remains the sole property of the User.

MoonshotNX does not acquire ownership of any submitted materials.

7. No Obligation to Enter Investment

This Agreement does not create any obligation for MoonshotNX, its personnel, or any third party to invest in, advise, or engage with the User.

8. Limitation

This Agreement applies only within the MoonshotNX platform environment.

MoonshotNX does not control and is not responsible for the conduct of third-party investors once information is shared at the User’s direction.

9. Acceptance

This California Addendum is accepted automatically upon acceptance of the Terms of Service and DPA.

No separate signature is required.
