MoonshotNX operates a capital readiness and investor access platform for early-stage companies.
MoonshotNX:
• Is not a venture capital firm
• Is not a registered broker-dealer
• Is not a registered investment adviser
• Is not a nonprofit grant-making organisation
• Is not affiliated with any U.S. federal or state government program, including the U.S. “Cancer Moonshot” initiative
MoonshotNX facilitates structured access to funding ecosystems and investor-readiness services.
3. Entity Separation & Functional Roles
The following entities operate independently:
MoonshotNX, Inc.
• Delaware corporation
• Operates capital readiness platform
• Coordinates vendor-based investor-readiness services
• Does not hold, custody, or deploy investor capital
Moonbase Foundation
• Independent foundation
• May provide non-dilutive grants to selected companies
• Engages approved third-party vendors for deliverables
• Operates independently of MoonshotNX corporate governance
MaxNX
• Separately organised capital platform
• May operate regulated activities where applicable
• Manages investor relationships within its own legal framework
M1 Regional Funds
• Independently structured GP/LP investment vehicles
• Apply independent investment criteria
• Are not obligated to invest in MoonshotNX companies
Each entity maintains separate governance and decision-making authority.
4. Grant Structure (Moonbase Foundation)
Where applicable, selected startups may receive a non-dilutive grant from the Moonbase Foundation.
Grant characteristics:
• Funds are disbursed directly to approved third-party vendors
• Funds are not paid to MoonshotNX
• Funds are not paid to founders for discretionary use
Typical deliverables may include:
•SPV formation and Legal.
MoonshotNX does not control grant allocation decisions.
5. Platform Fee Structure
MoonshotNX charges a subscription model onboarding and platform access fee.
This fee:
• Covers structured onboarding
• Covers platform access
• Covers coordination of vendor processes
• Is not contingent upon funding
• Is not tied to capital raised
• Is not a success fee
MoonshotNX does not charge transaction-based compensation.
The onboarding fee is separate from any third-party vendor fees or foundation grants.
6. Regulatory Position
MoonshotNX does not:
• Solicit securities
• Execute securities transactions
• Provide underwriting services
• Provide investment advice
• Act as a placement agent
Any regulated capital market activity, where applicable, is conducted exclusively by the legally authorised entity responsible for that activity.
7. Vendor & Third-Party Services
Investor-readiness services are delivered through independent third-party vendors.
MoonshotNX may coordinate access to approved vendors but does not itself provide:
• Audit opinions
• Legal advice
• Investment recommendations
• Securities placements
Vendor engagement is subject to separate vendor agreements.

MoonshotNX is frequently described online in simplified or inaccurate ways.
For clarity:
• MoonshotNX is a U.S.-registered private corporation
• It is not a government grant program
• It is not a venture capital fund
• It does not custody or deploy investor capital
• It does not operate as a broker-dealer
