STACK stands for: Structured Terms for Aligned Capital Kicker

Structured Terms:

Refers to the custom-designed funding instruments Moonshotnx uses (e.g. modified SAFE notes, debt, or convertible capital) that balance risk and return for both founders and investors.

Aligned Capital:

All funding layers — grants, SAFE, debt, and growth equity — are intentionally structured to align with the startup’s stage, needs, and scaling potential.

Kicker:

A capital “kicker” is an upside mechanism (like a warrant, success fee, or revenue share) that rewards early backers and syndicate partners in future financing or liquidity events.

Jill Godden

Founder & CEO of MoonshotNX & MaxNX
Architect of the Capital Stack Accelerator Model

Jill didn’t build the Capital Stack Model because she wanted to run another accelerator. She built it because she was tired of watching brilliant founders — especially those outside the Silicon Valley bubble — get passed over, undervalued, or trapped in systems that weren’t designed for them.

She’s been on both sides of the table: raising capital as a founder, deploying it as a VC, and advising funds with billions under management. What she saw was clear: the startup world doesn’t have a founder funding problem — it has a capital stack access problem.

And so the Capital Stack was born. A new model. A fast model. A capital-first, stack-based accelerator where founders don’t have to beg to be heard. Where money moves quickly, mentoring comes with meaning, and startup dreams aren't delayed by broken funding systems.

Jill combined everything she knew from decades in venture capital, private equity, and global fund advisory — from MaxNX to MAXF1 — to engineer a founder-led funding engine.
